Nature's Sunshine Products Reports Filing of Amendment to Form 10 Registration Statement! |

 Nature's Sunshine Products, Inc., a leading manufacturer and marketer of encapsulated herbs and vitamins, recently filed with the U.S. Securities & Exchange Commission ("SEC") its Annual Report on Form 10-K for the fiscal year ended December 31, 2008 and an amendment to its Form 10 registration statement covering all classes of the Company's stock. The Company amended its previously filed Form 10 registration statement to include audited financial statements and other information for 2008 and to respond to comments received from the SEC in relation to its initial filing of the Form 10.
The Form 10 registration statement does not contemplate an issuance of Company stock, but instead provides for registration of all classes of the Company's currently outstanding shares under the Securities Exchange Act of 1934. The Company's goal remains to return the Company's shares to the public markets as quickly as practicable, although the Company is not able to predict when this will occur.
The filing of the Form 10 became necessary after the issuance of an order on January 21, 2009, by the SEC upholding an earlier decision by an administrative law judge revoking the registration of all classes of the Company's stock. As a result of this order, broker-dealers are not permitted to effect transactions in the Company's shares until the Company's registration becomes effective.
